     A Non-Profit Organization in the USA is a company formed not to earn profit from commercial activities, nor to further distribute such profit to the shareholders of the company. The structure of a Non-Profit Organization is generally identical to the ordinary corporation (i.e., C Corporation); nonetheless, a Non-Profit Organization can be created in the form of a Non-Stock Company (i.e. a company that does not have share capital).

     A Non-Profit Organization is formed in accordance with the legislative requirements of each specific State. Companies of this type are usually formed for social, scientific, informative, sports and other purposes.

     A Non-Profit Organization is incorporated by registering the Àrticles of Incorporation with the Secretary of the relevant State. It is important that the text of the Articles of Incorporation contain provisions indicating the non-profit character of the company's activities.

     The legislation of most States requires that at least three directors be named for a Non-Profit Organization. Nevertheless, some states require only one director.

     The liability of the directors and members of a Non-Profit Organization is limited, as it is with ordinary corporations (C Corporations).
