In the course of business, the owner of a non-resident company sometimes has to change the composition of the company's directors and/or shareholders. A change of directors/shareholders may be useful in the following cases:

| | If the owner of the company was previously the officially nominated director, but decided to use the nominee service. |
| | If, on the contrary, the owner of the company has used the nominee service in the past, but has decided to become the officially nominated director of the company |
| | If the owner of the company has decided to sell the structure to another entrepreneur and the new owner wishes, after purchasing the company, to nominate new directors. |

In these cases I.O.S. will carry out the procedure for changing directors and /or shareholders in the Register of Enterprises of the relevant country, as well as ensuring receipt of the necessary corroborative documents.
The procedure for changing the company's directors/shareholders is usually carried out as follows:

| 1) | The current directors of the company draw up and sign the special minutes necessary for putting into effect the required changes in the composition of the directors or stockholders of the company. |
| 2) | Depending on the specific country, documents in the prescribed form are submitted to the Register of Enterprises. For example, in the United Kingdom, in order to carry out a change of directors, the official forms "288 à" and "288 b" must be completed and submitted to the Registrar of Companies. As regards US LLCs, the official Amendment to Articles of Organization is registered with the Office of the Secretary of the relevant State. In most jurisdictions, the procedure for changing directors/shareholders, including registration with the appropriate authorities, will take 15-25 working days. |
| 3) | After receiving official notice in writing that the change of directors/shareholders has been duly registered, the corroborative document is certified by Apostille or by the consulate of the relevant country in order to make it valid in other countries. |
