The process of taking over a company's maintenance is carried out as follows:

| 1) | On the basis of the incorporation documents of the company, presented by the owner, I.O.S. provides a preliminary assessment of the situation, i.e. clarifies whether the documents of the company correspond to the generally accepted standards of the country of incorporation. |
| 2) | I.O.S. carries out a Company Search in the country of incorporation to ascertain the current situation of the company and whether it is currently in arrears with the Register of Enterprises of the country concerned for non-payment of franchise tax. |
| 3) | In order to execute the takeover procedure, some jurisdictions require the consent of the current local agent in the country. In most cases, agreement is obtained if the company does not owe any monies to the current local agent (i.e. for unpaid services). |
| 4) | The Register of Enterprises of the relevant country records the document stating the change of the registered agent, and (if necessary) - minutes a change of registered office or directors or company secretary. |
